1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Slink, a professional skill exchange platform operated by Radius Technology. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

2. Eligibility & Account Responsibilities

• You must be at least 18 years old and capable of forming a binding contract.
• You agree to provide accurate, current, and complete information when creating or updating your account.
• You are responsible for safeguarding your password and for all activities that occur under your account.
• You must promptly notify us of any unauthorized use or security breach.

3. Using the Slink Platform

Slink connects learners and mentors for one-on-one or group skill exchanges. We provide discovery tools, scheduling workflows, messaging, and payment facilitation, but we do not employ mentors or guarantee outcomes. Users are solely responsible for the content of their profiles, classes, and interactions.

Slink may offer guidelines, templates, or suggested rates, but final terms between mentors and learners are set by those parties and fulfilled at their own risk.

4. Payments, Fees & Refunds

• Mentors may charge fees for their sessions. Slink may apply platform or processing fees as disclosed during checkout.
• Payments are processed through secure third-party providers. By submitting payment details, you authorize us to charge the applicable amounts.
• Refunds are governed by the policy displayed at the point of purchase. We reserve the right to withhold payouts or issue refunds in cases of suspected fraud, policy violations, or unmet services.
• You are responsible for any taxes associated with transactions facilitated through Slink.

5. Cancellations & Rescheduling

Mentors and learners may set cancellation windows within the platform. Missed sessions or late cancellations may result in charges consistent with those settings. Slink reserves the right to intervene when disputes arise, but does not guarantee specific outcomes.

6. Acceptable Use & Conduct

You agree not to:

• Impersonate any person or entity or misrepresent your affiliation.
• Post or transmit content that is unlawful, defamatory, discriminatory, or otherwise objectionable.
• Use the Services to solicit or provide content that violates third-party rights or local regulations.
• Attempt to gain unauthorized access to Slink systems or disrupt the proper functioning of the platform.
• Harvest or otherwise collect information about users without consent.

We may suspend or terminate accounts that violate these standards.

7. Intellectual Property

All software, branding, text, graphics, logos, and other intellectual property on Slink are owned by Radius Technology or our licensors. You may not copy, modify, distribute, or exploit any platform content without our prior written consent.

Users retain ownership of the content they create and share via the Services, but grant Slink a worldwide, non-exclusive, royalty-free license to host, display, and distribute such content as necessary to operate the platform.

8. Disclaimers

Slink provides the Services on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not guarantee the accuracy or reliability of user-generated content or that the Services will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Radius Technology, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of: (a) amounts you paid to us in the twelve months preceding the claim; or (b) one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless Radius Technology and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria without regard to conflict of law principles. You agree that any dispute will be resolved through good-faith negotiation, and if unresolved, exclusively in the state or federal courts located in Lagos, Nigeria. You waive any objection to personal jurisdiction or venue in those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, where appropriate, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
